Visteon Announces Results for Tender Offer, Pricing of New Issue
VAN BUREN TOWNSHIP, Mich., June 17, 2008 – Visteon Corporation (“Visteon”) (NYSE: VC) today announced the expiration of its previously announced tender offer (the “Tender Offer”) for up to $344,000,000 in aggregate principal amount of its 8.25 percent notes due August 2010 (“Old Notes”) and contemporaneous pricing of $206,386,000 in aggregate principal amount of new 12.25 percent senior notes due 2016 (“New Notes”).
Visteon Announces Tender Offer, New Notes Offering
VAN BUREN TOWNSHIP, Mich., May 19, 2008 – Visteon Corporation (NYSE: VC) today announced that it has commenced a tender offer for up to $344 million of its 8.25 percent notes due August 2010 (the “Old Notes”). Each Eligible Holder (as defined below) who tenders Old Notes in the tender offer is required, as a condition to such Eligible Holder’s participation in the tender offer, to purchase a principal amount of Visteon’s new 12.25 percent senior notes due 2016 (the “New Notes”) equal to 60 percent of the aggregate principal amount of Notes purchased from such Eligible Holder pursuant to the tender offer at a purchase price equal to 91.621 percent of the principal amount thereof.
Visteon Honors Flint High School Senior with National Association of Black Automotive Suppliers’ Scholarship Award
VAN BUREN TOWNSHIP, Mich., May 12, 2008 — Tarik Everett, a senior of his class at Flint Central Academy, was named Visteon Corporation’s (NYSE: VC) Visteon Scholar at the National Association of Black Automotive Suppliers’ (NABAS) 20th Annual Scholarship Awards Banquet on May 6 at the Renaissance Center in Detroit, Mich.
Henry S. Martin Jr., associate director of Visteon’s supplier diversity development program, presented the $22,500 scholarship award to Tarik. This is the fourth year Visteon has supported the NABAS Scholarship Fund.

Visteon Elects Alex Mandl to Board of Directors
VAN BUREN TOWNSHIP, Mich., March 17, 2008 — Visteon Corporation (NYSE: VC), a leading supplier of automotive systems and technology, announced that Alex J. Mandl has been elected to its board of directors, effective immediately.
Mandl has nearly 40 years of leadership experience with global companies, including serving as president and chief operating officer of AT&T, and as chairman and chief executive officer of Sea-Land Services, Inc. Since December 2007, he has been non-executive chairman of the board of Gemalto, a global leader in digital security that is a newly merged company between Gemplus International and Axalto. Mandl had been president and CEO of Gemplus International since September 2002.
Visteon Announces Q4 and Full-Year 2007 Results
VAN BUREN TOWNSHIP, Mich., Feb. 14, 2008 — Visteon Corporation (NYSE:VC) today announced fourth quarter and full-year 2007 results. For fourth quarter 2007, Visteon reported a net loss of $43 million, or $0.33 per share, on sales from continuing operations of $2.9 billion. The fourth quarter net loss includes $30 million of non-cash asset impairments and $32 million of restructuring expenses that were not eligible for reimbursement from the escrow account. For fourth quarter 2006, Visteon reported a net loss of $39 million on sales from continuing operations of $2.8 billion. EBIT-R, as defined below, for fourth quarter 2007 was $15 million, an improvement of $52 million over the same period of 2006.

Visteon Corporation Sells Non-Core North American Aftermarket Facilities
VAN BUREN TOWNSHIP, Mich., Feb. 1, 2008 /PRNewswire - FirstCall/ -- Visteon Corporation (NYSE:VC) has sold its non-core North American-based aftermarket underhood and remanufacturing facilities to Centrum Equities, XV, LLC, an affiliate of Centrum Properties, Inc. The operations sold include a manufacturing plant in Sparta, Tenn., and two plants in Reynosa, Mexico.
Specific terms of the transaction were not disclosed. The sale does not include aftermarket mobile electronics products, which Visteon maintains as part of its electronics group.
Visteon Corporation Announces Share Repurchase Program
VAN BUREN TOWNSHIP, Mich., Dec. 12, 2007 — Visteon Corporation (NYSE:VC) today announced that its board of directors has authorized a share repurchase program of up to 2 million shares of its common stock, which may be repurchased over the next 24 months. Shares repurchased through the program will be used solely to fund ongoing employee compensation and benefit plan obligations.
